Terms of Service

Last updated:

1. About These Terms

These Terms of Service ("Terms") govern your use of ClientReportly (the "Service"), operated by Ömer Aydoğdu ("we", "us", "our"). By creating an account, you agree to these Terms.

2. The Service

ClientReportly is a software-as-a-service platform that allows agencies to manage client projects, share files and reports, and collect client approvals through a branded client portal.

The Service can optionally be connected to a project management tool you already use (today Trello, Asana or Notion) so that a project's progress can be shown in the portal and in reports. You create that connection with your own account at that provider, and you can remove it at any time from your account settings. We ask only for read-only permission and do not change your task or project data in the tool; your use of the tool itself remains governed by your own agreement with its provider. With Notion the connection carries no write permission at all, so nothing in your workspace can be changed through it, and you decide in Notion's own permission screen which pages and databases the connection can see — a choice we cannot widen from the product. What we read and what we keep is described in our Privacy Policy (https://clientreportly.com/privacy).

3. Accounts

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must be of the age of majority in your country to open an account. The Service is offered for business and professional use only: by registering, you confirm that you are acting in the course of a trade, business, craft or profession and not as a consumer.

4. Subscriptions and Billing

Paid plans are billed on a recurring basis (monthly or annual) through our authorized payment provider, Paddle.com Market Limited, who acts as the Merchant of Record for all purchases. Paddle handles payment processing, taxes, and invoicing on our behalf; by subscribing, you also agree to Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Subscriptions automatically renew unless canceled before the renewal date. We may change subscription prices with reasonable advance notice.

Free trial: new accounts start a 14-day free trial on the plan they select. A valid payment method is required to begin the trial, and no charge is made during it. Unless you cancel before the trial ends, the trial converts automatically into a paid subscription for the plan you selected, at the price shown when you selected it, and billing continues on the recurring basis described above. You can cancel at any time before the trial ends from your account settings, on the "My Plan" page, and you will not be charged. The free trial is available once per customer and does not apply to subsequent subscriptions.

5. Your Content

You retain ownership of all data, files, and content you upload to the Service ("Your Content"). You grant us a limited license to store, process, and display Your Content solely for the purpose of operating the Service.

6. Data Processing

Where you use the Service to handle personal data about your own clients, you act as the controller of that data and we act as your processor. Our Data Processing Agreement (https://clientreportly.com/dpa) sets out how we handle it and forms an integral part of these Terms; by creating an account you accept it together with these Terms. If the Data Processing Agreement and these Terms conflict on a data protection matter, the Data Processing Agreement prevails. How we handle data for which we are ourselves the controller is described in our Privacy Policy (https://clientreportly.com/privacy).

7. Acceptable Use

You agree not to use the Service to upload unlawful content, infringe on others' rights, or attempt to disrupt or gain unauthorized access to the Service.

8. Termination

You may cancel your subscription at any time from your account settings, on the "My Plan" page. We may suspend or terminate accounts that violate these Terms or applicable law.

9. Disclaimer and Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

A connected project management tool is a third-party service that we do not operate or control. We are not responsible for its availability, for changes it makes to its interfaces, permissions or pricing, or for the data it holds. If such a tool is unavailable or slow, if it ends or narrows an authorization, or if it changes what it allows us to read, the progress figures that depend on it can be delayed, incomplete or unavailable until the connection is restored, and that alone is not a failure of the Service. The feature can also be withdrawn for a provider that stops permitting this kind of access.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict of law principles.
